本协议以中文和英文两种文本发布，两种文本含义相同。如有不一致，对中国大陆用户以中文文本为准。您的同意同时适用于两种文本，无论您阅读的是哪一种。第 9 节和第 10 节限制了 TOMST 的承诺和责任范围，请您仔细阅读；如有不明之处，请写信至 tomst@tomst.com，我们会予以说明。

1. 协议双方以及您如何接受本协议

本协议是您与在捷克共和国注册的公司 TOMST s.r.o.（地址：Michelská 964/78, 141 00 Praha 4, 捷克共和国；以下简称"TOMST"）之间关于使用 TOMST Lolly Android 应用中国版（以下简称"应用"）的约定。如果您为某一单位（例如大学、科研机构或公司）使用应用，您是在该单位的授权下使用，该单位关于其设备和数据的规定同样适用于您。

应用首次启动时，您点按"同意并继续"，即表示您接受本协议。如果 tomst.cn 的下载页面在下载之前请您确认接受，该确认同样是您的接受。如果您不同意，请点按"不同意"：应用会关闭，您可以卸载它。只有在本协议之下才允许使用本应用。

接受本协议与《隐私政策》所述的各项同意相互独立。向 TOMST 发送诊断日志或崩溃报告，以及允许应用使用您的位置信息，都需要您另行同意；您可以拒绝这些同意，这不影响本协议。

2. 应用的功能

应用是 TOMST 为其设备提供的配套软件。它通过 TOMST 的 USB 适配器从 TOMST 数据记录器（TMS、Thermologger、Dendrometer 以及其他 TOMST 设备）下载测量数据，在您的设备上显示和保存这些数据，对其进行换算和导出，设置数据记录器的时钟和测量设置，并为 TOMST 设备安装固件更新。在您设置后，它会把您的下载上传到您自己的服务器；在您选择时，它会向 TOMST 发送诊断日志和崩溃报告。它面向成年人的专业、科研和技术工作，不面向未满 14 周岁的儿童。

应用无需账号，不含广告，也没有应用内购买、订阅或付费。它的核心功能无需网络连接即可工作。它连接 TOMST 的服务器 tomst.cn，用于更新检查和 TOMST 公告、获取本协议和《隐私政策》的文本，以及传送您选择发送的内容；应用只通过 tomst.cn 分发。《隐私政策》说明应用如何处理个人信息。

3. 使用许可与知识产权

TOMST 授予您一项有限的、非独占的、不可转让的许可，允许您在您控制的设备上安装和使用应用，用于配合您拥有或以其他方式获得授权使用的 TOMST 设备（例如作为持有该设备的单位的员工、学生或承包方），并处理通过合法使用该设备获得的数据。多名获得授权的人员可以各自依据本协议，在同一台设备及其数据上使用应用。TOMST 设备依法转给新的持有人时，新持有人可以依据本协议在该设备上使用应用。TOMST 只能依照第 11 节终止本许可。

本许可不转让应用的所有权。应用中属于 TOMST 的原创代码、设计、文档及其他内容归 TOMST 所有，受知识产权法律保护；TOMST 和 Lolly 的名称及标识归 TOMST 所有。应用中还包含第三方组件，其仍受各自权利人的权利和许可条款约束；这些条款赋予您的权利，不受本协议限制。

除法律明确允许您不受本条限制的情形外，您不得：出售、出租、出借或转授权应用；向并非 TOMST 设备授权使用人的人员提供应用，或传播经修改或重新签名的应用副本；删除或更改其中的声明；对应用进行反向工程、反编译或反汇编；或绕过其签名、更新或安全机制。应用安装的固件归 TOMST 所有，只能在其所适用的 TOMST 设备上使用。

4. 测试版本及其停止日期

当前的应用是测试版本（Beta）：它仍在开发中，可能存在缺陷，其功能和界面可能在版本之间发生变化。每个测试版本都有一个停止日期，应用中会显示该日期；到期后该版本停止工作，需要更新到新版本；应用会在该日期之前提醒您，您的文件和设置会保留在您的设备上。您的测量文件是普通文件，其他软件也可以打开。关于 TOMST 对测试版本作出和不作出的承诺，见第 9 节。

测试版本的停止日期只涉及该版本的软件，不限制您依据取得 TOMST 设备时所依据的合同或依据法律就该设备享有的任何权利。

5. 更新、支持与旧版本

更新只来自 tomst.cn。在您接受本协议和《隐私政策》之后，应用在每次正常启动时检查是否有新版本，您也可以在"关于"页面自行检查。新版本只有在您确认后才会下载和安装，具体见《隐私政策》。

TOMST 可以发布更改、增加或删除功能的更新，可以停止对旧版本的支持，也可以从下载页面撤下任何版本。TOMST 不承诺在任何特定期限内保持任何版本可供下载或得到支持。新版本、新功能或新服务可能附有其自身的条款，这些条款由 TOMST 告知，并且只有在您接受后才适用。您可以拒绝更新，但测试版本仍会在其停止日期停止工作，旧版本也可能无法与较新的设备或固件配合使用。

支持：请写信至 app@tomst.com。支持在 TOMST 的能力范围内提供，没有固定的答复时限；关于您个人信息的请求，在《隐私政策》规定的期限内答复。

本节的任何内容均不限制 TOMST 依据您取得 TOMST 设备时所依据的合同或依据强制性法律承担的义务。

6. 您的数据与您的备份

您用应用创建或下载的测量数据、站点名称、备注、照片及其他信息，归其权利人所有，例如您本人、您的雇主、您的大学或您的项目。TOMST 不因提供应用而对其取得任何权利；TOMST 如何使用您选择发送的诊断日志，见《隐私政策》。这些信息保存在您的设备上，只有在您导出、分享、备份或上传它们，设置向您自己服务器的自动导出，或向 TOMST 发送日志时才会离开设备。TOMST 不会自动收到您的测量数据。

应用从不更改它下载的测量文件：会更改内容的工具都把结果保存为新文件。即便如此，设备仍可能丢失、损坏或被清空，测试版本也可能存在缺陷。请自行备份重要的数据，并在依赖数据之前对其进行核查；应用为此提供了导出和备份功能，数据记录器在其存储被覆盖之前也会保留记录。关于数据丢失时 TOMST 承担的责任，见第 10 节。

7. 您可以做什么，不可以做什么

使用应用时，您应当：

遵守中国大陆的法律法规，只将应用用于合法目的；
只将应用用于您有权使用的 TOMST 设备和数据；
对您为下载添加的内容（站点名称、备注、照片）以及您把文件交给谁负责，包括其中可能含有的他人信息；
合理注意您的设备、数据文件夹和服务器凭据的安全；
不干扰、不过载、不探测、不攻击 tomst.cn 或任何 TOMST 系统，不把应用与 tomst.cn 的连接用于应用自身功能以外的任何用途；
不破解、绕过或滥用应用的签名、更新或安全机制；
不以侵犯他人权利的方式使用应用。

如果您严重违反第 3 节或本节，TOMST 可以终止您的使用许可（见第 11 节）。

8. 可用性与兼容性

应用的核心功能无需联网即可工作：下载、查看、保存和导出测量数据都不需要网络连接。只有更新检查和 TOMST 公告查询、阅读本协议和《隐私政策》（首次设置为此需要联网一次）、您选择的发送和自动导出需要网络连接。服务器 tomst.cn 可能因维护、网络原因或 TOMST 无法控制的原因而暂时不可用；此时更新检查、更新和上传会等待或失败，应用本身继续工作。

应用需要 Android 9 或更新的系统，以及 USB 接口可作为主机使用的设备；不运行 Android 应用的设备无法使用它。TOMST 在多种设备上测试应用，但不承诺它能在每一台设备、每一个 Android 版本或设备的每一个固件版本上正常工作。如需特定设备方面的帮助，请访问 tomst.cn 或写信至 app@tomst.com。

9. 请仔细阅读：我们不作出的承诺

测试版本按其现状及可用状态提供。TOMST 会作出合理努力，使应用正确读取、保存和显示您的测量数据，并在发现某次下载有问题时告知您。但在法律允许的范围内，TOMST 不保证测试版本没有缺陷，不保证它运行不中断，不保证每次下载都完整、正确，也不保证任何版本会持续可用或得到支持。应用是一款工具：在依赖数据之前对其进行核查，以及据此作出的决定，仍由您负责。

TOMST 采取合理措施保护其服务器以及您向其发送的信息，但没有任何系统是绝对安全的。

本节不影响适用于您所取得的 TOMST 设备的保证及其他权利，也不影响法律赋予您的、不得以协议限制的任何权利。

10. 请仔细阅读：责任限制

对于 TOMST 造成的人身损害、TOMST 因故意或重大过失造成的财产损失，以及中国大陆法律不允许免除或限制责任的其他任何情形，TOMST 的责任不予免除或限制。

在其他情形下，并在法律允许的范围内，TOMST 对以下损失不承担责任：间接损失或后果性损失，或利润、收入或合同的损失；本可通过合理备份或在使用前核查数据而避免的数据丢失；因您的设备、其他应用、您自己的服务器或云服务、网络或 TOMST 合理控制范围以外的其他情况造成的损失；或因将应用与非 TOMST 设备配合使用、违反本协议使用或在测试版本停止日期之后使用而造成的损失。损失部分由 TOMST、部分由您或第三方造成的，TOMST 只对其自身造成的部分承担责任。

如果您依据中国大陆法律属于消费者，您作为消费者依法享有的权利不受本节影响。

11. 协议的终止

您可以随时通过卸载应用终止本协议。如果您严重违反第 3 节或第 7 节，TOMST 可以终止您的使用许可。测试版本的许可在该版本的停止日期终止；您安装的新版本继续依据本协议使用。

协议终止时，您使用应用的权利终止。您的数据及其权利人的权利不受影响：TOMST 不因协议终止而对您的数据取得任何权利。第 3、6、9、10、13 节继续有效。

12. 本协议的变更与历史版本

TOMST 可以变更本协议，例如在应用、法律或 TOMST 的服务发生变化时。当本协议发生实质性变更时，TOMST 会在 tomst.cn 上发布新文本并同时发布应用更新，应用会在该更新之后的首次启动时请求您的同意；您也可以随时在应用的"关于"页面阅读当前文本。在您接受更新的版本之前，您最后接受的版本继续适用。变更不适用于其生效之前的期间，也不剥夺您依据强制性法律享有的权利。如果您不同意新版本，请停止使用并卸载应用。

本协议的现行版本发布在 https://tomst.cn/TOMSTLolly-china/Android/legal/agreement/。TOMST 保存历史版本及其日期；您有合理需要时，可以写信至 tomst@tomst.com 索取曾适用于您的版本。

13. 适用法律与争议解决

本协议适用中华人民共和国大陆地区法律。如发生争议，双方应先通过第 14 节的联系方式友好协商解决。这不妨碍任何一方随时依法向有管辖权的人民法院提起诉讼，或寻求法律规定的其他救济。本协议的某一条款被认定无效的，不影响其余条款的效力。

上述法律适用不影响您依据适用于 TOMST 的个人信息相关法律（包括欧盟《通用数据保护条例》）享有的权利，详见《隐私政策》。

TOMST Lolly User Agreement

Application: TOMST Lolly, China edition (Android)

Version 2026-10-22. Effective date and last updated: 22 October 2026.

This agreement is published in Chinese and in English. Both texts have the same meaning. If they ever differ, the Chinese text applies to users in mainland China. Your agreement covers both texts, whichever one you read. Sections 9 and 10 limit what TOMST promises and what it is liable for; please read them with care, and ask us at tomst@tomst.com if anything in them is unclear: we will explain.

1. The parties and how you accept this agreement

This agreement is between you and TOMST s.r.o., a company registered in the Czech Republic (Michelská 964/78, 141 00 Praha 4, Czech Republic; "TOMST"), about the use of the China edition of the TOMST Lolly app for Android (the "app"). If you use the app for an organisation, such as a university, a research institute or a company, you use it with that organisation's authority, and its own rules about its equipment and data also apply to you.

You accept this agreement by tapping "Agree and continue" when the app first starts. Where the download page on tomst.cn asks you to confirm your acceptance before a download, that confirmation is your acceptance too. If you do not agree, tap "Do not agree": the app closes and you can uninstall it. Using the app is only allowed under this agreement.

Accepting this agreement is separate from the consents described in the Privacy Policy. Sending a diagnostic log or a crash report to TOMST and letting the app use your location each need their own consent, which you can refuse without affecting this agreement.

2. What the app does

The app is TOMST's companion software for TOMST equipment. It downloads measurements from TOMST dataloggers (TMS, Thermologger, Dendrometer and other TOMST devices) through TOMST's USB adapter, shows and saves them on your device, converts and exports them, sets the dataloggers' clocks and measurement settings, and installs firmware updates on TOMST equipment. If you set it up, it uploads your downloads to a server of your own; when you choose, it sends diagnostic logs and crash reports to TOMST. It is intended for professional, scientific and technical work by adults and is not for children under 14.

The app needs no account, contains no advertising and has no in-app purchases, subscriptions or payments. Its core functions work without an internet connection. It connects to TOMST's server tomst.cn for update checks and notices from TOMST, for the texts of this agreement and the Privacy Policy, and for what you choose to send, and it is distributed only through tomst.cn. The Privacy Policy explains how the app handles personal information.

3. Licence and intellectual property

TOMST grants you a limited, non-exclusive and non-transferable licence to install and use the app on devices you control, for use with TOMST equipment that you own or are otherwise authorised to use (for example as an employee, student or contractor of the organisation that holds it), and to work with data obtained through the legitimate use of such equipment. Several authorised people may use the app with the same equipment and its data, each under this agreement. When TOMST equipment passes lawfully to a new holder, the new holder may use the app with it under this agreement. TOMST may end the licence only as section 11 provides.

The licence does not transfer ownership of the app. TOMST's original code, design, documentation and other materials in the app belong to TOMST and are protected by intellectual property law, and the TOMST and Lolly names and marks belong to TOMST. The app also contains components of third parties, which remain subject to their owners' rights and licence terms; where those terms give you rights, this agreement does not limit them.

Except where the law expressly allows it despite this clause, you may not: sell, rent, lend or sublicense the app; make the app available to people who are not authorised users of TOMST equipment, or pass on modified or re-signed copies of it; remove or change its notices; reverse engineer, decompile or disassemble it; or circumvent its signing, update or security mechanisms. The firmware the app installs belongs to TOMST and may be used only on the TOMST equipment for which it is intended.

4. The beta version and its end date

The current app is a beta (test) version: it is still being developed, may contain faults, and its features and screens may change between versions. Every beta version has an end date, shown in the app, after which it stops working and needs to be updated to a newer version; the app reminds you before that date, and your files and settings stay on your device. Your measurement files are ordinary files that other software can also open. Section 9 says what TOMST does and does not promise for a beta version.

The end date of a beta version concerns only that version of the software. It does not limit any rights you have, under the contract under which you acquired TOMST equipment or under the law, in relation to that equipment.

5. Updates, support and older versions

Updates come only from tomst.cn. After you have accepted this agreement and the Privacy Policy, the app checks at each ordinary start whether a newer version exists, and you can also check on the About page. A newer version is downloaded and installed only after you confirm it, as the Privacy Policy describes.

TOMST may release updates that change, add or remove features, may stop supporting older versions and may withdraw any version from the download page. It does not undertake to keep any version available or supported for a particular time. New versions, features or services may come with terms of their own, which TOMST discloses and which apply only once you accept them. You may decline an update, but a beta version still stops working on its end date, and an older version may not work with newer equipment or firmware.

Support: write to app@tomst.com. Support is given as TOMST's capacity allows and without a fixed response time; requests about your personal information are answered within the time the Privacy Policy states.

Nothing in this section limits obligations TOMST has under the contract under which you acquired TOMST equipment or under mandatory law.

6. Your data and your backups

The measurements, site names, notes, photos and other information that you create or download with the app belong to whoever holds the rights to them, for example you, your employer, your university or your project. TOMST acquires no rights in them by providing the app; how TOMST uses a diagnostic log you choose to send is described in the Privacy Policy. This information stays on your device and leaves it only when you export, share, back up or upload it, set up Auto export to a server of your own, or send a log to TOMST. TOMST does not automatically receive your measurements.

The app never changes a measurement file it downloaded: a tool that changes something saves the result as a new file. Even so, devices can be lost, broken or wiped, and a beta version can have faults. Please keep your own backups of important data and check data before you rely on it; the app offers export and backup for that, and the dataloggers keep their records in their memory until it is overwritten. Section 10 says what TOMST is liable for if data is lost.

7. What you may and may not do

When using the app you shall:

comply with the laws and regulations of mainland China, and use the app only for lawful purposes;
use the app only with TOMST equipment and data that you are authorised to use;
take responsibility for what you add to a download (site names, notes, photos) and for whom you give your files to, including other people's information that may be in them;
take reasonable care of the security of your device, your data folder and your server credentials;
not interfere with, overload, probe or attack tomst.cn or any TOMST system, and not use the app's connection to tomst.cn for anything other than what the app itself does;
not crack, circumvent or misuse the app's signing, update or security mechanisms;
not use the app in a way that infringes the rights of others.

TOMST may end your licence if you seriously breach section 3 or this section (section 11).

8. Availability and compatibility

The app's core functions work without internet: downloading, viewing, saving and exporting measurements need no connection. Only the update check and the look for a notice from TOMST, reading this agreement and the Privacy Policy (the first setup needs a connection once for that), the sends you choose and Auto export need one. The server tomst.cn may be unavailable at times, for maintenance, for network reasons or for reasons outside TOMST's control; then the update check, updates and uploads wait or fail, and the app itself keeps working.

The app requires Android 9 or newer and a device whose USB port can act as a host; devices that do not run Android apps cannot use it. TOMST tests the app on a range of devices but does not promise that it works on every device, with every Android version or with every firmware version of the equipment. For help with a particular device, see tomst.cn or write to app@tomst.com.

9. Please read carefully: what we do not promise

The beta version is provided as it is and as available. TOMST makes reasonable efforts to have the app read, save and show your measurements correctly, and to tell you when it finds that something is wrong with a download. To the extent the law allows, however, TOMST does not warrant that the beta version is free of faults, that it runs without interruption, that every download is complete and correct, or that any version will stay available or supported. The app is a tool: you remain responsible for checking data before you rely on it, and for the decisions you take on it.

TOMST takes reasonable measures to protect its servers and the information you send to them, but no system is completely secure.

This section does not affect the warranties and other rights that apply to TOMST equipment you acquired, or any right the law gives you that cannot be limited by agreement.

10. Please read carefully: limits of liability

TOMST's liability is not excluded or limited for personal injury it causes, for damage to property it causes intentionally or through gross negligence, or in any other case where the law of mainland China does not allow liability to be excluded or limited.

In all other cases, and to the extent the law allows, TOMST is not liable for: indirect or consequential loss, or loss of profit, income or contracts; loss of data to the extent that it could have been avoided by reasonable backups or by checking the data before use; loss caused by your device, by other apps, by your own server or cloud service, by the network or by other circumstances outside TOMST's reasonable control; or loss caused by using the app with equipment that is not TOMST's, contrary to this agreement, or after the end date of a beta version. Where a loss is caused partly by TOMST and partly by you or a third party, TOMST is liable only for its own share.

If you are a consumer under the law of mainland China, your rights as a consumer are not affected by this section.

11. Ending the agreement

You can end this agreement at any time by uninstalling the app. TOMST may end your licence if you seriously breach section 3 or section 7. The licence to a beta version ends on that version's end date; a newer version you install continues under this agreement.

When the agreement ends, your right to use the app ends. Your data, and the rights of whoever holds the rights to it, are not affected: TOMST acquires no rights in your data when the agreement ends. Sections 3, 6, 9, 10 and 13 continue to apply.

12. Changes to this agreement and earlier versions

TOMST may change this agreement, for example when the app, the law or TOMST's services change. When it changes in substance, TOMST publishes the new text on tomst.cn with an app update, and the app asks for your agreement at the first start after that update; you can also read the current text at any time on the app's About page. The version you last accepted applies until you accept a newer one. A change does not apply to the time before it takes effect, and does not take away rights you have under mandatory law. If you do not agree to a new version, stop using the app and uninstall it.

The current version is published at https://tomst.cn/TOMSTLolly-china/Android/legal/agreement/. TOMST keeps the earlier versions with their dates and, on a reasonable request, provides you with the version that applied to you, at tomst@tomst.com.

13. Governing law and disputes

This agreement is governed by the laws of the mainland of the People's Republic of China. If a dispute arises, the parties will first try to settle it in a friendly way through the contacts in section 14. This does not prevent either party from bringing the dispute before a people's court with jurisdiction under the law at any time, or from using any other remedy the law provides. Where a provision of this agreement is found invalid, the rest stays in force.

This choice of law does not affect the rights you have under the laws on personal information that apply to TOMST, including the EU General Data Protection Regulation, as the Privacy Policy describes.
